Software License Agreement

Contrax ("Licensor") hereby grants you ("Licensee") a non-exclusive, non-transferable, revocable license to access and use the Contrax platform and services ("Software") subject to the terms and conditions set forth in this Agreement. This license permits you to: • Access and use the Software's features as per your subscription plan • Process and store your data within the platform • Integrate the Software with your authorized systems • Use any associated APIs and documentation The number of authorized users and usage limits are determined by your subscription plan.

The Software is available through various subscription plans: • Standard Plan: Basic features for small teams • Professional Plan: Advanced features for growing businesses • Enterprise Plan: Full feature set with custom limits Each plan's specific features, limitations, and pricing are detailed on our pricing page. All plans are subject to this license agreement.

You explicitly agree not to: • Modify, adapt, translate, or create derivative works • Reverse engineer, decompile, or disassemble the Software • Remove or alter any proprietary notices or branding • Use the Software to develop competing products • Sublicense, sell, lease, or rent access to the Software • Share account credentials with unauthorized users • Exceed your plan's usage limits • Use the Software for any illegal purposes Any violation of these restrictions may result in immediate license termination.

The Software, including all related content, features, and functionality, is and remains the exclusive property of Contrax and its licensors. This includes: • Source code and object code • User interface designs • Algorithms and processes • Documentation and training materials • Branding and trademarks Your license confers no title or ownership in the Software. All rights not expressly granted are reserved by Contrax.

You retain all rights to the data you input into the Software. You grant Contrax a limited license to store and process your data solely to: • Provide the contracted services • Maintain and improve the Software • Generate anonymized statistics • Comply with legal obligations We commit to: • Protect your data confidentiality • Process data according to your instructions • Delete data upon termination as per our data retention policy

Based on your subscription plan, you are entitled to: • Technical support via specified channels • Bug fixes and security updates • Feature updates and improvements • Access to documentation and resources We maintain sole discretion over: • Update frequency and content • Feature deprecation and modification • Support response times • Maintenance schedules

This license is effective until terminated: • By you: Through proper account closure • By us: For Terms violation or non-payment • By either party: With required notice period Upon termination: • All access rights cease immediately • You must stop using the Software • You must delete any local copies • You may export your data within the specified timeframe We may modify license terms with 30 days notice.

The Software is provided "as is" without warranty of any kind, either express or implied, including, but not limited to: • Fitness for a particular purpose • Uninterrupted or error-free operation • Accuracy or completeness of results Our liability is limited to: • The amount paid for your subscription • Direct damages only • Claims reported within 12 months

You agree to: • Maintain accurate usage records • Comply with all applicable laws • Cooperate with compliance audits • Report violations promptly We reserve the right to: • Monitor usage patterns • Verify compliance • Request usage reports • Conduct system audits

This License Agreement shall be governed by and construed in accordance with the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France. If any provision is found invalid, the remainder shall continue in effect.
